Project scope, deliverables, timelines, pricing, payment terms, intellectual property ownership, support obligations, and warranties are defined only in a written proposal, statement of work, or service agreement signed or formally accepted by both parties.

If there is any conflict between these Terms and a signed project agreement, the signed project agreement controls for that project.

Zippy designs, builds, and maintains custom software including web applications, mobile applications, APIs, cloud deployments, and related technical services. Specific services depend on the agreed project scope.

We may use third-party libraries, frameworks, hosting platforms, and open-source components as appropriate for each project. Licensing terms for third-party components remain governed by their respective licenses.

When you engage us for services, you are responsible for providing timely access to requirements, content, credentials, approvals, and stakeholders needed for delivery unless otherwise agreed in writing.

You represent that content and materials you supply do not infringe third-party rights and may be used for the agreed project purposes.

Any indicative timelines discussed during sales or discovery are estimates only until confirmed in a signed proposal or contract.

Changes to scope, features, integrations, or priorities may affect schedule and cost. Change requests are handled according to the process defined in the applicable project agreement.

Fees, deposits, invoicing schedules, accepted payment methods, taxes, late payment consequences, and suspension rights are set out in the applicable proposal or service agreement.

Unless expressly stated in a signed agreement, nothing on the Website constitutes a price quote, refund guarantee, or payment term.

We retain ownership of the Website, branding, pre-existing tools, frameworks, methodologies, and materials not specifically created for your project.

Ownership and licensing of custom work product are defined in the applicable project agreement. Unless otherwise agreed in writing, transfer of source code and deliverables typically occurs after full payment of all fees due for the relevant work.

Each party may receive confidential business or technical information from the other during discussions or project delivery. Both parties agree to use reasonable care to protect confidential information and to use it only for the permitted purpose, except where disclosure is required by law.

Additional confidentiality terms may be included in a separate non-disclosure or project agreement.

The Website is provided on an "as is" and "as available" basis without warranties of any kind, to the fullest extent permitted by law.

To the maximum extent permitted by law, Zippy will not be liable for indirect, incidental, special, consequential, or punitive damages arising from use of the Website or reliance on Website content.

Service warranties, remediation obligations, and liability caps for delivered projects, if any, are defined only in the applicable signed project agreement.

You agree to indemnify and hold harmless Zippy from claims arising out of your misuse of the Website, your violation of these Terms, or materials you provide that infringe third-party rights, except to the extent caused by our gross negligence or willful misconduct.

We may suspend or restrict access to the Website if we reasonably believe you have violated these Terms or if necessary to protect the Website, users, or our systems.

Termination or suspension of active development work is governed by the applicable project agreement.

These Terms are governed by the laws of Pakistan, without regard to conflict-of-law principles. Courts located in Islamabad, Pakistan shall have exclusive jurisdiction over disputes arising from these Terms or use of the Website, unless mandatory law requires otherwise.

We may update these Terms from time to time by posting a revised version on this page with an updated "Last updated" date.
